Terms of Service

These Terms of Service (“Terms”) govern your use of REP LAB, a platform operated by 2626915 Ontario Inc. (operating as Agent Consulting) (“REP LAB”, “we”, “us”). By creating an account or using the service, you agree to these Terms.

1. The service

REP LAB provides software for real-estate professionals to organize property and lead opportunities, run and connect marketing campaigns, generate call-preparation materials, and manage follow-up. REP LAB is a tool; it does not provide legal, real-estate, or compliance advice, and does not guarantee any particular number of leads, appointments, or sales.

2. Eligibility & accounts

You must be at least 18 years old and, where the features you use require it, a licensed real-estate professional in good standing. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.

3. Your compliance responsibilities

You are solely responsible for how you contact the people in your pipeline and for complying with all applicable laws, including Canada’s telemarketing and National Do Not Call List (DNCL) rules administered by the CRTC, Canada’s Anti-Spam Legislation (CASL) for electronic messages, and PIPEDA and provincial privacy laws. Before making calls or sending messages, you are responsible for obtaining any required registrations, subscriptions, consents, and do-not-contact screening. REP LAB provides tools to help, but you and your brokerage remain the legally responsible party for your outreach.

4. Acceptable use

You agree not to use REP LAB to: violate any law; harass, defraud, or mislead any person; upload unlawful or infringing content; attempt to breach security or scrape the service; or resell or redistribute data in violation of a third party’s terms (including MLS, board, or platform rules).

5. Third-party services

REP LAB integrates with third-party services (such as Meta advertising). Your use of those services is subject to their own terms and policies, and you authorize REP LAB to access the data you connect solely to provide the service. You are responsible for your relationship with, and compliance obligations to, those third parties.

6. Subscriptions & billing

Paid plans are billed on the cycle presented at purchase. Fees are non-refundable except where required by law. Advertising spend, where applicable, is billed by the advertising platform directly to your own connected account, not by REP LAB. We may change pricing on reasonable notice.

7. Intellectual property

REP LAB and its software, design, and content are owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the service. You retain ownership of the data you submit.

8. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that leads, data, or AI-generated materials are accurate, complete, or fit for a particular purpose, or that the service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, REP LAB will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.

10. Indemnification

You agree to indemnify and hold REP LAB harmless from claims, damages, and costs (including reasonable legal fees) arising from your use of the service, your outreach to third parties, or your breach of these Terms or applicable law.

11. Termination

You may stop using REP LAB at any time. We may suspend or terminate access for breach of these Terms or where required by law. On termination, your right to use the service ends and we will handle your data as described in our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the courts of Ontario have exclusive jurisdiction.

13. Changes

We may update these Terms. Material changes will be posted here with an updated effective date; continued use constitutes acceptance.
